A Jersey Private Fund (“JPF”) shall not constitute a collective investment fund (“CIF”) within the meaning of the Collective Investment Funds (Jersey) Law 1988, as amended (the “CIF Law”). This applies equally where the JPF meets the requirements of the Collective Investment Funds (Jersey Private Fund) (Jersey) Order 2025 (the “JPF Order”). Under the JPF Order, effective 6 August 2025, any offer for the subscription, sale, or exchange of units in a JPF must be addressed exclusively to a “restricted group of investors,” so as to ensure that
the offer does not, in any way, constitute an “offer to the public” within the meaning of Article 3 of the CIF Law.

Investors should note that the Shares, as described in the Private Placement Memorandum (the “PPM”), have not been qualified for offer or sale to the public under the securities laws of any country or jurisdiction. The Directors of the Company named in the PPM have taken all reasonable care to ensure that the facts stated in the PPM are true and accurate in all material respects, and that there are no other facts the omission of which would make any statement in the PPM misleading. The PPM should be read carefully before investing and retained for future reference.

As set out in the PPM, the Fund’s investment objective is to achieve a positive absolute return by investing across a range of tradable asset classes, including plain vanilla financial instruments as well as Blockchain-related assets, and in particular the assets specified in the PPM.

The Shares offered are speculative in nature, and an investment in Shares involves a high degree of risk. Prospective investors should subscribe for Participation Shares only if they can afford a complete loss of their investment. Please refer to the “Risk Factors” section of the PPM.

Investments held by the Company may be highly illiquid or otherwise difficult to sell, making it difficult to acquire or dispose of them at fair value, or to allow the Company to meet redemption requests, as there may be little or no market for such investments. Accordingly, the Company’s ability to respond to market movements may be impaired, and the settlement of transactions may be delayed. It may not always be possible for the Company to sell investments at the desired price, or to liquidate an open position, due to prevailing market conditions. In some cases, it may be impossible for the Company to liquidate its positions, which could expose it to losses. There can be no assurance that
an investor will be able to realise their investment before the Company is wound up and capital is returned to Participation Shareholders.
